LAKBAI TECHNOLOGIES, INC. TERMS & CONDITIONS

Important: Please read these Terms of Service carefully before using LakBai mobile application or platform (the “App” or “Platform”). By accessing, downloading, registering for, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Introduction and Definitions

LakBai Technologies Inc., a Philippine stock corporation with SEC registration (“we,” “us,” “our,” or the “Company”), operates a carpooling platform that connects passengers and drivers for shared rides (the “Service”). In addition to ride connecting, communication, scheduling, and payment facilitation, the Platform provides various security and safety features such as real-time GPS tracking, trip sharing with trusted contacts, ID verification, and safety ratings.

• User / You: Any individual or entity using the Platform as a Passenger, Driver, or both.
• Passenger: A user seeking a shared ride.
• Driver: A user offering a ride in their private vehicle.
• Carpool Ride: A pre-arranged shared transportation between Users via the Platform.
• Contribution: the amount paid by a Passenger to a Driver through the Platform for a shared ride.
• Reimbursement: the Contribution, which is intended to cover the Driver’s shared ride costs such as fuel, maintenance, and other operational expenses.

These Terms constitute a legally binding agreement between you and the Company, governed by Philippine law. We may update these Terms; continued use constitutes acceptance of changes.

2. Eligibility and User Accounts

• You must be at least 18 years old and fully competent to enter into this agreement.
• Drivers must: hold a valid Philippine driver’s license, own or have legal authority to use the vehicle, maintain valid vehicle registration/insurance, comply with all LTO and local regulations, and pass any background/vehicle checks.
• Accounts are personal; you may not share credentials. You are responsible for all activity under your account.
• We reserve the right to verify information, suspend, or terminate accounts for violations, fraud, safety concerns, or at our discretion.

Note on Regulations: The Platform facilitates voluntary private carpooling arrangements.We operate solely as a technology platform for ride listings and do not provide transportation services or act as a common carrier. Users are responsible for ensuring their activities comply with all applicable laws, including LTO requirements on licensing, registration, and insurance, and for keeping their use within lawful private carpooling boundaries to avoid colorum violations. By using the app, you confirm you understand and will follow these rules.

3. The Service

The Platform allows Drivers to post ride listings that Passengers can browse and choose to request or join. We facilitate communication between Users and process calculated contribution payments through integrated providers. The Company does not provide transportation services, operate any vehicles, or control vehicle operation, safety, or conduct during rides.

The Company determines and sets the contribution amounts based on factors such as distance travelled, fuel efficiency, fuel cost, fuel used, maintenance fee, number of passengers and other operational considerations. The app will display the maximum and minimum amounts that they will pay before booking and this will be adjusted later on. Maximum is when they are the only participant, minimum is when the trip is full.

Drivers and Passengers may not negotiate or change the contribution amounts outside the Platform except for its toll fees. Otherwise, all payments must be processed through the App’s payment system.

User Responsibilities:

Drivers shall:

• Ensure their vehicle is in safe, roadworthy, and properly maintained condition suitable for carrying passengers.
• Post accurate ride listings including route, schedule, and available seats.
• Follow the listed or agreed route, with reasonable deviations only for safety, traffic, or road conditions, and inform passengers promptly of any major changes.
• Make reasonable efforts to arrive at the meet up location on time.
• Maintain valid insurance as required by law and are strongly encouraged to carry comprehensive vehicle insurance. By registering and posting rides, the Drivers declare and warrant that their vehicle has valid insurance. Drivers are solely responsible for maintaining adequate coverage. The Company does not verify insurance documents. Drivers assume all risks and liabilities from any insurance insufficiency and agree to indemnify the Company from related claims.
• Be responsible for any passengers or guests they allow in their vehicle.
• Drive safely and lawfully at all times.

Passengers shall:

• Provide accurate booking information.
• Make reasonable efforts to arrive at the agreed meet up location on time.
• Pay the contribution amount and service-related fees as shown in the App.
• Comply with the Driver’s and the App’s reasonable vehicle rules and safety instructions.
• Behave respectfully and lawfully during the ride.

All Users shall:

• Use the Platform in good faith and for lawful private carpooling purposes only.
• Report any safety issues or misconduct promptly through the App.
• Maintain respectful and cooperative conduct toward other Users.

Failure to comply with these responsibilities may result in warnings, temporary suspension, permanent account termination, cancellation fees, or other appropriate measures at the Company’s discretion. Repeated violations may also be reported to relevant authorities where appropriate.

4. Payments and Fees

• Passengers contribute the amount set by the platform which is calculated based on factors such as distance travelled, fuel efficiency, estimated fuel cost, maintenance, number of passengers, and other operational considerations. The Company may also charge platform-related fees.
• The contribution amount is processed through the Platform’s secure payment system. The Company shall hold such funds in an escrow-like capacity via a third-party service provider until the Driver completes the ride and successfully requests a withdrawal of their reimbursements. Drivers may withdraw their available reimbursements at any time. All transactions are facilitated through integrated third-party payment providers.
• Cancellations, refunds, or disputes are handled per our Cancellation and Reimbursement Policy.

All transactions are between Users; we act as a facilitator only.

5. Safety and Conduct

• Safety First: Users ride at their own risk. Verify identities and share trip details with trusted contacts.
• Prohibited Conduct: Harassment, discrimination, impaired driving, illegal activities, providing false information, damaging property, or violating community guidelines.
• We may remove Users for violations and report to authorities as needed.

Emergency: In case of incidents, contact authorities immediately.

6. Intellectual Property

The App, its contents, logos, and technology are owned by or licensed to the Company. You receive a limited, non-exclusive, revocable license to use the App for personal purposes. You may not copy, modify, reverse engineer, or scrape the Platform.

User-generated content (reviews, photos) grants us a royalty-free license to use it for Platform improvement and promotion. You warrant you have rights to post such content.

7. Regulation Environment

Users acknowledge that carpooling activities on the Platform may operate in a legal gray area under current Philippine transportation laws and carry a risk of being questioned by authorities. We have implemented and designed measures to promote lawful and formalized private carpooling and are actively engaging with the LTFRB to seek formal recognition or a regulatory sandbox for all our users. Until greater regulatory clarity is achieved, Users participate at their own risk and are responsible for ensuring their compliance with all applicable laws.

8. Privacy and Data Protection

Your privacy is important. See our separate Privacy Policy for details on data collection, use, and sharing. We comply with the Philippines Data Privacy Act of 2012 (RA 10173) and related rules.

By using the App, you consent to processing of your personal data as described.

9. Disclaimers and Limitations of Liability

• AS-IS Service: The Platform is provided “as is” without warranties of any kind. We do not guarantee availability, accuracy of filtering the list of booking, safety of rides, or driver/passenger conduct.
• No Transportation Responsibility: We are a software platform only. We are not a common carrier, do not operate vehicles, and bear no liability for injuries, accidents, property damage, losses, or disputes between Users.
• Limitation of Liability: To the maximum extent permitted by law, our total liability shall not exceed the fees you paid to us in the past 12 months. We are not liable for indirect, incidental, consequential, or punitive damages.
• Drivers/Passengers bear primary responsibility for insurance and liabilities arising from rides.

Assumption of Risk

• By using the Platform and participating in any ride, both Drivers and Passengers explicitly acknowledge and assume all risks inherent in carpooling and shared rides. These risks include, without limitation, accidents, personal injury, property damage, theft, delays, mechanical failures, traffic incidents, or any other harm that may arise during travel.
• Users understand and agree that the Company provides only a software platform and has no control over vehicles, drivers, routes, road conditions, or the conduct of other Users. Participation in any ride is voluntary and entirely at the User’s own risk. The Company shall not be liable for any damages, losses, or injuries arising from or related to any ride, regardless of cause.
• Users are encouraged to secure their own insurance and to exercise reasonable caution at all times.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from your use of the Platform, your rides, violations of these Terms, or breaches of law.

11. Termination

We may suspend or terminate your access at any time for violations or other reasons. You may delete your account, but certain obligations survive (e.g., payments, indemnification).

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Disputes shall first be resolved amicably; failing that, through arbitration in Metro Manila under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI) or as required by law. You waive class actions where applicable.

13. Miscellaneous

• Changes: We may modify Terms; we will notify you via the App or email. Continued use = acceptance.
• Severability: Invalid provisions do not affect the rest.
• Entire Agreement: These Terms (plus our Privacy Policy, Cancellation and Reimbursement Policy, and other in-app policies) constitute the full agreement.
